These Terms and Conditions govern your access to and use of Autor, a creative automation tool operated by While and For Limited, trading as Autor. By visiting the website, joining the waitlist, creating an account, or using Autor, you agree to these terms.
These terms are a practical draft for the Autor website and product experience. They should be reviewed by legal counsel before launch or commercial use.
1. About Autor
Autor helps teams automate creative workflows, including data ingestion, template intelligence, rendering, and distribution. The service may allow users to connect data sources, upload brand assets, create prompts, generate creative outputs, and distribute finished assets to selected destinations.
2. Eligibility and accounts
You must have authority to accept these terms for yourself or for the organisation you represent. If you create an account, you are responsible for keeping login details secure and for activity under that account.
You must provide accurate information and promptly update it when it changes.
3. Waitlist and early access
Joining the waitlist does not guarantee access to Autor. We may approve, delay, limit, suspend, or refuse access at our discretion, including during private beta, early access, or staged rollout periods.
4. Acceptable use
You must not use Autor to:
- break the law or infringe anyone's rights;
- upload, process, or distribute content you do not have permission to use;
- submit malicious code, spam, deceptive content, or abusive material;
- attempt to access accounts, systems, data, or infrastructure without permission;
- reverse engineer, scrape, overload, or interfere with Autor;
- use the service to create or distribute unlawful, harmful, misleading, or discriminatory content.
5. Your content and data
You retain ownership of content, data, prompts, brand assets, templates, and other materials you submit to Autor. You grant While and For Limited a licence to host, process, transform, render, display, transmit, and otherwise use that material as needed to provide, secure, support, and improve Autor.
You are responsible for ensuring you have all rights, permissions, and consents needed for the materials you submit and for the outputs you create or distribute using Autor.
6. Outputs
Autor may generate, transform, or assemble creative outputs based on your inputs, connected data, templates, prompts, and settings. You are responsible for reviewing outputs before publication or distribution, including for accuracy, rights clearance, brand compliance, and legal compliance.
We do not guarantee that outputs will be error-free, unique, suitable for a particular purpose, or free from third-party rights issues.
7. Third-party services
Autor may integrate with third-party services such as data sources, storage providers, commerce platforms, analytics tools, distribution channels, or authentication providers. Your use of those services may be subject to separate terms and policies. We are not responsible for third-party services we do not control.
8. Fees and subscriptions
If paid plans are introduced or if you agree to a paid arrangement, pricing, billing, taxes, renewal, cancellation, and refund terms will be provided at or before purchase. Unless stated otherwise, fees are non-refundable to the maximum extent permitted by law.
9. Intellectual property
Autor, including the website, software, workflows, interface, documentation, brand, and underlying technology, is owned by While and For Limited or its licensors. Except for the rights expressly granted to you, no rights are transferred to you.
You may not copy, modify, resell, sublicense, or create derivative works from Autor except as allowed by these terms or agreed in writing.
10. Confidentiality
If you receive access to non-public features, beta functionality, technical information, pricing, product plans, or business information, you must keep that information confidential unless we say otherwise in writing.
11. Service changes and availability
Autor may change, suspend, or discontinue parts of the service at any time. We aim to provide a reliable service, but we do not guarantee uninterrupted availability or that all errors will be corrected.
12. Disclaimers
Autor is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Nothing in these terms limits rights that cannot legally be limited.
13. Limitation of liability
To the maximum extent permitted by law, While and For Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities.
Where liability cannot be excluded, our liability is limited to the amount you paid for Autor in the three months before the event giving rise to the claim, or NZD $100 if you have not paid us during that period.
14. Indemnity
You agree to indemnify While and For Limited against claims, losses, liabilities, damages, costs, and expenses arising from your content, your use of Autor, your breach of these terms, or your violation of law or third-party rights.
15. Termination
You may stop using Autor at any time. We may suspend or terminate access if you breach these terms, create risk for the service or other users, or where required for legal, security, or operational reasons.
16. Governing law
Unless otherwise required by applicable law, these terms are governed by the laws of New Zealand. The courts of New Zealand have non-exclusive jurisdiction over disputes relating to these terms or Autor.
17. Changes to these terms
We may update these terms from time to time. If changes are material, we will take reasonable steps to notify users. Continued use of Autor after the updated terms take effect means you accept the updated terms.
